Adia Health Inc., including its subsidiaries, affiliates, and related entities (collectively referred to as “Adia Health”, “our”, “we” or “us”), provides the website located at www.adia.ai (“Site”) and online services (collectively the “Services”) that are subject to these terms and conditions (“Terms of Service”). By accessing and/or use of our Services, regardless of whether you create an account, you agree to these Terms of Service, which form a legally binding contract between you and Adia Health. If you do not agree to these Terms of Service, do not use the Site or Services.
Adia Health may modify these Terms of Service, in whole or in part, at any time in its sole discretion. Such modifications will be effective when posted on the Site, and your continued use constitutes acceptance of the changes. Certain features and services may be subject to additional requirements, rules, and policies. Adia Health may change any aspect of the Services or restrict access at any time without liability.
1. Services
Services include, without limitation, our Site, all other websites, applications (including mobile and desktop applications), internet-based portals, interfaces, software, and technology platforms to carry out Adia Health’s services (including any content therein).
2. Usage of Services
Subject to your compliance with the Terms of Service, Adia Health grants you access to the Services. Such access granted by Adia Health is on a limited, nontransferable, revocable, and nonexclusive basis solely for your use. You may view and download the materials from the Site, provided that: (i) you retain all copyright and other proprietary notices contained in the original materials on any copies of the materials; (ii) your use of such materials is for your personal, non-commercial use only, and will not be copied or posted on any network computer or broadcast in any media; (iii) you may not modify the materials in any way or reproduce, publicly display, perform, distribute, transmit, or create derivative works from any of the materials; and (iv) you shall not attempt to copy, decompile, or reverse engineer any of our site code, applications, interfaces, or services.
The above authorization does not include the design of the Services or layout of the Site, elements of which are legally protected and may not be copied or imitated in whole or in part. No logo, graphic, sound, or image from this Site may be copied or retransmitted unless expressly authorized by Adia Health. No other use of the materials is authorized.

You hereby grant to Adia Health a non-exclusive, perpetual, irrevocable, worldwide, sublicensable, and royalty-free right to use and otherwise exploit Suggested Improvements in any manner. Similarly, if you post content on our Site, you grant Adia Health a non-exclusive, royalty-free license to use, modify, and display that content. You must have the right to grant this license for any content you post.
Adia Health respects the intellectual property rights of third parties and requests users of the Services to notify Adia Health at legal@adia.ai if they become aware that any content on this Site or Services may violate or infringe upon the intellectual property rights of any third party.
The Site complies with the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been used on our Site without authorization, please contact us at legal@adia.ai. Provide detailed information about the alleged infringement, including the location of the content on our website. We will promptly investigate and take appropriate action in accordance with the DMCA.

You shall not attempt to gain unauthorized access to the Services, attempt to circumvent any security or authentication measures, probe, scan or test the vulnerability of our Site or Services. You shall not attempt to monitor or intercept data or network traffic from the Services. You shall not introduce, transmit, or otherwise make available any virus, worm, spyware, or other computer code, file or program intended to damage, overburden, or otherwise interfere with the proper functioning of the Services or websites.

Access to password-protected and/or secure areas of the Services is limited to authorized users only and requires creation of an account. For example, healthcare professionals desiring to order tests or view test results through the Site are required to register and establish an account to use these features. You must provide complete and accurate information on your account and update such information as necessary.
You are responsible for maintaining the confidentiality of your account and password information, and you agree not to share or transfer your account and/or password information. You agree to notify Adia Health immediately of any unauthorized use of your account or any other breach of security of which you become aware. You further agree to accept responsibility for all activities that occur under your account or password. You agree not to use another’s account or password information at any time.

The Services may allow access to, or contain links to, third-party websites or other resources (“Linked Sites”). These Linked Sites are provided solely as a convenience and we are not responsible for, nor endorse, the content, products, or services on or available from those Linked Sites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party Linked Sites or other resources. Use caution and review their terms and privacy policies.
7. Termination and Suspension of Service
Adia Health reserves the right to terminate or suspend your access to our Services at any time, without notice, for any reason, including breach of these Terms of Service. If applicable, you may delete your Site account and end your registration at any time, for any reason by sending an email to cs@adia.ai.
YOU ACKNOWLEDGE THAT ADIA HEALTH WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SITE OR SERVICES OR DELETION OF YOUR ACCOUNT.

In using the Services, you may provide certain personal information to us. Adia Health will use and disclose your personal information only in accordance with our Privacy Policy.
9. No Medical or Professional Services Advice
Information contained on the Site is presented for the purpose of general education for the public regarding diagnostic testing, personalized care, medical research, and other general information concerning Adia Health.
Nothing contained on the public areas of the Site is intended to constitute medical advice, instruction for medical diagnosis, or guidance for treatment. Information provided on the public areas of the Site should not be considered complete, nor should it be relied on to suggest a course of treatment for a particular individual. Adia Health reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent. Adia Health will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. THE OPERATION OF THE SITE AND THE INFORMATION AVAILABLE THEREON ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, ADIA HEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITE OR THE SERVICES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

Any disputes related to these Terms of Service will be resolved through binding arbitration in accordance with the laws of California. These Terms of Service are governed by the laws of California without regard to its conflict of law provisions.
